1. About this site

tsainalodge.com (the "Site") is operated by Tsaina Lodge, located at Mile Post 35 of the Richardson Highway, Valdez, Alaska. The Site is an informational website. It describes the employee housing Tsaina Lodge makes available to companies and provides a form for requesting a quote.

The Site is not an online store. No account can be created, no booking can be completed and no payment can be made through the Site. Rooms are reserved only through a separate written agreement between Tsaina Lodge and the hiring company.

By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

2. Nothing on this site is an offer or a contract

Rates, availability, room counts, seasons, amenities and meal arrangements described on the Site are indicative and may change without notice. They do not constitute a binding offer. Availability is confirmed only in writing by Tsaina Lodge, and the terms of any stay are governed by the lease or booking agreement signed by both parties, not by the Site.

Where the Site and a signed agreement disagree, the signed agreement prevails.

3. Who may book

Tsaina Lodge leases rooms to companies requiring employee housing. Rooms are not offered to individual travellers through the Site. Minimum crew sizes and minimum stays may apply and are agreed case by case.

4. Cancellations and changes

Cancellation, change and refund terms are set out in the lease or booking agreement signed for each stay. They are not set by these Terms. Request the current terms from Tsaina Lodge before committing to a booking.

5. Using the request form

The contact form on the Site is provided so companies can ask about availability. You agree to use it only for genuine enquiries, and not to send unsolicited advertising, automated submissions, abusive content or false information. Tsaina Lodge may ignore or block submissions that appear to be automated or abusive.

Sending a request through the form does not reserve a room and does not create any obligation on either side.

6. Electronic communications

When you send a request through the Site or email Tsaina Lodge, you consent to receive our reply electronically, and you agree that communications sent electronically satisfy any legal requirement that they be in writing.

7. Children

The Site is intended for business use by adults. Tsaina Lodge does not knowingly collect personal information from anyone under the age of eighteen through the Site.

8. Intellectual property

The text, photographs, logo and design of the Site are the property of Tsaina Lodge or its licensors and are protected by copyright and trademark law. You may view and print pages for your own business purposes, including evaluating Tsaina Lodge for a project. You may not republish, resell, redistribute or create derivative works from the content, or remove any attribution or proprietary notice, without our written permission.

9. Third party links and services

The Site may link to websites operated by others. Tsaina Lodge does not control those sites and is not responsible for their content or practices. The contact form is delivered by a third-party form provider; see our Privacy Policy for details.

10. Accuracy and liability

The Site may contain inaccuracies or typographical errors, and Tsaina Lodge may change its content at any time. The Site is provided "as is", without warranty of any kind, express or implied, to the maximum extent permitted by law, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.

To the maximum extent permitted by law, Tsaina Lodge is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, arising out of your use of, or inability to use, the Site. Some jurisdictions do not allow these exclusions, in which case they apply to you only so far as the law allows. If you are dissatisfied with the Site, your sole remedy is to stop using it.

Nothing in these Terms limits liability for fraud, or for death or personal injury caused by negligence, where such a limitation would be unlawful.

11. Indemnification

You agree to indemnify and hold harmless Tsaina Lodge, its officers, employees and agents against any losses, costs and reasonable legal fees arising from your misuse of the Site, your breach of these Terms, or your violation of any law or third-party right.

12. Disputes, governing law and arbitration

These Terms are governed by the laws of the State of Alaska.

If a dispute arising out of these Terms or the Site cannot be resolved between the parties, it will be settled by final and binding arbitration under the Federal Arbitration Act, before a single neutral arbitrator administered by the American Arbitration Association or a similar service agreed by the parties, at a location agreed by the parties. Judgment on the award may be entered in any court with jurisdiction, and the prevailing party may recover its costs and reasonable legal fees. The arbitrator decides questions about the scope and enforceability of this clause. This clause survives termination of these Terms.

Arbitration takes place on an individual basis. Class, collective and representative proceedings are not permitted, and the arbitrator may not consolidate the claims of more than one person unless both parties agree.

This clause governs use of the Site. Disputes arising from a signed lease or booking agreement are governed by the dispute provisions of that agreement.

13. Termination and severability

Tsaina Lodge may restrict or terminate access to the Site at any time, without notice. No joint venture, partnership, employment or agency relationship is created by these Terms. If any provision is found invalid or unenforceable, it will be replaced by a valid provision closest to its original intent, and the rest of the Terms remain in effect. These Terms and all related documents are written in English.

14. Changes to these Terms

Tsaina Lodge may change these Terms at its discretion. The version published on this page is the current one and supersedes all previous versions. Please review it periodically.
